The GOTY edition includes the premium down-loadable content (DLC) expansion packs, like The Shivering Isles, Knights of the Nine, etc.
If you have never played Oblivion, the GOTY edition is a good deal, since even though the regular version is cheaper, you would have to pay extra for the DLC.
